These terms and conditions ("Terms") govern the use of www.dpublish.in and the Services (defined below). These Terms also include our Privacy Policy.

During the Subscription Term, Publisher will receive a non-exclusive, non-assignable, royalty free, right to access and use the SaaS Services detailed in Schedule A hereto solely for the internal business operations subject to the terms of this SaaS Agreement. Publisher acknowledges that this SaaS Agreement is a services agreement and Decipher will not be delivering copies of the Software to Publisher as part of the SaaS Services.
Subject to the limited licenses granted herein, Decipher shall own all right, title and interest in and to the Software, services, and other deliverables provided under this SaaS Agreement, including all modifications, improvements, upgrades, derivative works and feedback related thereto and intellectual property rights therein.
3.1 Assistance: Publisher shall provide commercially reasonable information and assistance to Decipher to enable Decipher to deliver the SaaS Services.
3.2 Compliance with Laws: Publisher shall comply with all applicable local, state, national and foreign laws in connection with its use of the SaaS Services, including those laws related to data privacy, international communications, and the transmission of technical or personal data.
3.3 Administrator Access: Publisher shall be solely responsible for the acts and omissions of its Administrator Users. Decipher shall not be liable for any loss of data or functionality caused directly or indirectly by the Administrator Users.
3.4 Publisher Input: Publisher is solely responsible for collecting, inputting and updating all Publisher Content stored on the Host.
3.5 License from Publisher: Publisher shall grant to Decipher a limited, non-exclusive and non-transferable license, to copy, store, configure, perform, display and transmit Publisher Content solely as necessary to provide the SaaS Services.
3.6 Ownership: Publisher retains ownership and intellectual property rights in and to its Publisher Content. Decipher or its licensors retain all ownership and intellectual property rights to the services and Software programs.
3.7 Rights to Monetise: Publisher assigns to Decipher all the rights to monetise the website programmatically or otherwise including but not limited to display, native, video and affiliate advertising.
4.1: Both Parties have mutually agreed upon the financial considerations detailed in Schedule B. All fees are non-refundable and stated in Indian Rupees.
4.2: Publisher shall be responsible for payment of all GST or similar charges.
4.3: Invoices shall be payable within 7 days of the date of the invoice.
4.4: Delayed payments incur 2% interest per month. Invoices unpaid for 15+ days may result in service termination.
4.5: Decipher reserves the right to revise fees with reasonable advance notice.
4.6 Refunds: All amounts and fees are non-cancellable and non-refundable.

6.1: The term begins on the date of this Agreement and continues until terminated by either party.
6.2: Either Party may terminate with 60 days' written notice. May also be terminated immediately upon Material Breach not cured within 15 days.
6.3 Effect of Termination:
(a) Decipher shall immediately cease providing SaaS Services.
(b) Confidential information shall be returned or destroyed.
(c) Decipher keeps Publisher Content for 30 days post-termination for migration.
(d) Publisher liable for all dues through the notice period.
(f) Upon termination, Decipher returns: content data export, Google Analytics access, and revenue stream access.
Neither party shall be liable for indirect, incidental, special or consequential damages.
During the term and for 5 years thereafter, each party shall treat as confidential all Confidential Information of the other party and shall not disclose to any third party.
9.1: Services are provided on a non-exclusive basis.
9.2: Neither party may assign without consent.
9.4: Force Majeure applies to events beyond reasonable control.
9.7: This Agreement contains the entire agreement of the parties.
9.10: The parties are independent contractors.
9.12: Governed by the laws of India. Jurisdiction: courts of Gurgaon.
9.14: Disputes settled by arbitration (Sole Arbitrator, Haryana, India).
SaaS Services include:
1. Migration from existing website and CMS
2. Making website live upon written confirmation
3. Training sessions for Publisher's team
4. Hosting management on a central level
5. Programmatic ad monetization and revenue optimization
6. Serving direct campaigns from third parties
7. Monthly invalid traffic adjustments
Uptime: 99.5% minimum software uptime availability.
Support Hours: 10:00 AM - 6:00 PM IST (Business Hours) via chat and email.

1. One-time setup fee including migration - varies by client size
2. Monthly hosting for up to 1M page views and 10GB storage - fixed for two years

Decipher may change terms in Schedules A & B with written notice to the Publisher.
